This acclaimed and comprehensive work analyses the legal issues involved in international finance transactions operating under English law. The second edition thoroughly updates the book to take account of major developments in regulation, practice, and case law since the first edition published in 2008. Sarah Paterson is Assistant Professor, London School of Economics and Senior Consultant, Slaughter and May. Sarah specialises in restructuring and insolvency matters and has worked on both international and domestic restructurings. Dr Rafal Zakrzewski is a practising solicitor and Counsel at Clifford Chance, specialising in corporate finance with an emphasis on debt. Rafal was a University Lecturer in Corporate Law and Transactions at the University of Cambridge, where he established a graduate course on corporate transactions, and has taught at St Hugh's College at the University of Oxford.
